PREFACE 

The primary object of Principles of Law of Contract in Uganda is to present the law of contract in a simple, readable, and accessible form by explaining the general principles of the subject with reference to statutory provisions and leading cases. 

I do not claim to reinvent the wheel: most authors build on the works of their predecessors. Indeed, there are several good books on the law of contract in many common law jurisdictions, which are referred to in the Principles of Contract Law in Uganda book, and have over the years been handy in the teaching and study of the law of contract. 

These books include M.P. Furmston, Cheshire, Fifoot, and Furmston’s Law of Contract 16th ed. (Oxford University Press, 2012); P.S. Atiyah, The Rise, and Fall of Freedom of Contract (Oxford University Press, 1979); 

P.S. Atiyah, An Introduction to the Law of Contract (Oxford University Press, 1995); G.H. Treitel, The Law of Contract (Sweet & Maxwell, 1999); P. Richards, Law of Contract (Pearson Education Limited, 2002); R.W. Hodgin, Law of Contract in East Africa (Kenya Literature Bureau, 1997); and D. J. Bakibinga, Law of Contract in Uganda 2nd ed. (The Written Word Publications, 2013). 

In spite of the above body of literature, Principles of Law of Contract in Uganda takes into account recent developments on the subject, for example, the implications of information technology (IT) for the formation of a contract with specific reference to relevant provisions of legislation such as the Electronic Transactions Act and local cases that have interpreted these provisions.

With the aid of cases decided locally and in other common law jurisdictions, the Principles of Contract Law in Uganda book explains the principles underlying the Contracts Act, 2010. 

In addition to the principles of forming a contract, consideration, capacity, intention to create legal relations, contents of a contract, vitiating factors, discharge, and remedies, the book also examines the principles of agency, bailment, indemnity, and guarantee.

Having taught commercial laws, including the law of contract, at college and university levels for thirty years, I have come to appreciate the challenges students face in the study of law. Thus, in some areas, I have used simple hypothetical examples to illustrate difficult concepts. 

I have also included several revision questions at the end of each chapter to enable readers to test their understanding of the subject. 

It is hoped that law and business students, practitioners, and judicial officers will find this book's Principles of Law of Contract in Uganda helpful.
